Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Park Spider (“Park Spider,” “we,” “us”) governing your use of the Park Spider websites, dashboard, scanner application, resident portal, and related services (together, the “Service”). By creating an account, joining an organization or property, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or property, you represent that you have authority to bind that entity, and “you” includes it.
What Park Spider is
Park Spider provides software tools for plate-based parking management: a dashboard for managing properties and vehicle lists, a mobile application that detects and reads license plates and checks them against those lists, a guest-pass system, and a resident portal. The Service is an informational tool for parking administration. It is not a security service, an enforcement service, a towing service, or a guarantee that any parking rule will be followed or enforced.
Your account and organization
- You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account.
- Organization owners and managers control their organization’s data, members, properties, and settings, and are responsible for the actions of the members, scanner operators, and residents they invite or approve.
- You must be at least 18 years old, or the age of majority where you live, to create an account.
Plans, billing, and cancellation
- Paid plans are billed monthly, in advance, through our payment processor (Stripe). Subscriptions renew automatically each billing period until canceled.
- You can cancel or downgrade at any time from the dashboard; the change takes effect at the end of the current billing period, and you keep your plan’s features until then. Except where the law requires otherwise, payments are non-refundable and we do not give credit for partial periods.
- If a renewal payment fails, we may retry it, notify you, and after continued non-payment place your organization in a restricted, read-only state or suspend the Service until the balance is settled.
- We may change prices or plan limits. Price changes take effect at the next billing period, and for existing subscribers we will give at least 30 days’ notice before a price increase. Free-tier limits may change on notice.
- Prices exclude any applicable taxes, which are your responsibility.
Automated scanning has limits
Plate detection and recognition are automated, probabilistic processes. Lighting, weather, speed, plate condition, camera angle, device performance, and connectivity all affect results. We do not warrant that scan results, match verdicts, guest-pass states, or any other output of the Service are accurate, complete, current, or available at any given moment, and you must not treat them as such. The Service may be interrupted, delayed, or unavailable. Outputs of the Service are information to assist your own judgment, nothing more.
Enforcement decisions are yours alone
Park Spider never decides what happens to a vehicle. Any enforcement action (towing, booting, citations, fines, warnings, revoking access, or anything else) is solely your decision and solely your responsibility, taken under your own authority and your own compliance with local law. You agree to independently verify a vehicle’s status before taking any enforcement action, and not to rely on the Service as the basis for one. Park Spider is not a party to, and has no responsibility for, any dispute between you and any vehicle owner, driver, resident, guest, towing operator, or other person arising from your parking rules or their enforcement.
Your legal responsibilities
Laws on license-plate collection, automated license-plate recognition, surveillance, signage, data protection, and vehicle towing vary by country, state, and municipality, and they apply to you, as the party operating the property and collecting the data. You are solely responsible for:
- having a lawful basis to collect and process license plates and related information at your properties, including any required signage, notices, consents, or registrations;
- complying with all laws that apply to your use of the Service, including ALPR, privacy, surveillance, and towing regulations in your jurisdiction;
- the accuracy of the vehicle lists, resident records, and parking rules you maintain in the Service;
- your agreements with residents, tenants, guests, and vendors, including towing companies.
Acceptable use
You agree not to use the Service to:
- track, surveil, stalk, or harass any individual, or locate a person for any purpose unrelated to parking administration at your own properties;
- violate any law or any third party’s rights;
- probe, overload, disrupt, or circumvent the Service’s security or usage limits, or access it by any automated means other than the interfaces we provide;
- reverse engineer, copy, resell, sublicense, or build a competing service from the Service or its software;
- upload malicious code or content you have no right to upload.
We may suspend or terminate accounts engaged in any of the above.
Your data
- You own the data your organization submits or collects through the Service (vehicle lists, scans, resident records, and similar). You grant us a license to host, process, transmit, and display it as needed to operate, secure, and improve the Service, consistent with our Privacy Policy.
- Scan history is retained while your organization’s account is active, as described in the Privacy Policy. When your organization is deleted, its data is deleted or de-identified except where we must retain it (e.g., billing records required by law).
- We may use aggregated, de-identified usage information that does not identify you, your properties, or any vehicle to operate and improve the Service.
Our intellectual property
The Service, including its software, models, design, and branding, belongs to Park Spider and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use it while your account is in good standing, and no other rights. If you send us feedback or suggestions, we may use them without restriction or obligation.
Third-party services
The Service depends on third-party providers: payment processing (Stripe), hosting, email delivery, app stores, and similar. We are not responsible for third-party services, their availability, or their terms, and your use of them may be governed by their own agreements.
Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Service will be accurate, reliable, uninterrupted, or error-free. No advice or information obtained from us or through the Service creates any warranty not expressly stated in these Terms.
Limitation of liability
To the maximum extent permitted by law: (a) Park Spider will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill; (b) Park Spider will not be liable for any damages arising from towing, booting, citations, or any other enforcement action, from parking violations, vehicle damage or theft, or from disputes between you and any third party; and (c) Park Spider’s total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the event giving rise to the claim and fifty US dollars (US$50).
Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to you; in that case our liability is limited to the smallest amount the law allows. Nothing in these Terms excludes liability that cannot be excluded by law.
Indemnification
You will defend, indemnify, and hold harmless Park Spider and its operator, affiliates, and personnel from and against any claims, damages, penalties, and expenses (including reasonable legal fees) arising from: (a) any enforcement action you take or direct, including towing or booting; (b) your violation of any law, including ALPR, privacy, surveillance, signage, or towing regulations; (c) the data you collect or submit through the Service and your right to collect it; (d) your parking rules and your agreements or disputes with residents, guests, vehicle owners, or vendors; or (e) your breach of these Terms.
Suspension and termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your access if you materially breach these Terms, fail to pay, create risk or legal exposure for us or others, or if we discontinue the Service (in which case we will give reasonable notice).
- Sections of these Terms that by their nature should survive termination (including the disclaimers, limitation of liability, and indemnification) survive it.
Changes to the Service or these Terms
We are continually improving the Service and may add, change, or remove features. We may also update these Terms; if a change is material, we will give notice (for example by email or an in-product notice) before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms. The “Effective” date above always reflects the current version.
Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws rules, and disputes will be brought exclusively in the courts of that jurisdiction. Before filing any claim, you agree to first contact us at contact@parkspider.com and give us 30 days to try to resolve the issue informally.
Everything else
These Terms and the Privacy Policy are the entire agreement between you and Park Spider about the Service. If any provision is found unenforceable, the rest remains in effect, and the provision is enforced to the maximum extent permitted. Our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale. Questions? Contact contact@parkspider.com.
